Services are provided subject to availability and mutual agreement on scope, timeline, and commercial terms. Specific service details will be outlined in individual engagement letters or statements of work.
Geographic Scope: Our services are primarily offered in Hong Kong and surrounding regions. International engagements may be considered on a case-by-case basis.
4. User Responsibilities
4.1 Client Obligations
When engaging our services, clients agree to:
- Provide accurate, complete, and timely information necessary for service delivery
- Designate appropriate personnel for engagement coordination
- Grant reasonable access to relevant business operations, documentation, and stakeholders
- Respond to inquiries and requests within mutually agreed timeframes

You agree not to:

- Attempt to reverse engineer our methodologies or frameworks
- Engage in conduct that damages our reputation or interferes with service delivery
- Share confidential engagement information with unauthorized third parties
5. Intellectual Property
5.1 Our Intellectual Property
All intellectual property rights in our methodologies, frameworks, tools, templates, and general consulting approaches remain the exclusive property of Fortivex. This includes:
- Proprietary consulting methodologies and process frameworks
- Assessment tools and diagnostic instruments
- Training materials and educational content
- Website content, design, and branding elements
5.2 Client License
Upon full payment for services, clients receive a limited, non-exclusive, non-transferable license to use engagement deliverables for internal business purposes only. This license does not include the right to:
- Resell, sublicense, or commercialize deliverables
- Modify deliverables without authorization
- Remove proprietary notices or attribution
- Use deliverables for competitive consulting services
5.3 Client Information
Clients retain all intellectual property rights in their pre-existing information, data, and materials provided during engagements. By providing such information, clients grant Fortivex a limited license to use it solely for delivering agreed services.
6. Payment Terms
6.1 Fees and Pricing
Consulting fees are agreed upon in individual engagement letters based on:
- Scope and complexity of services
- Estimated time and resource requirements
- Specialist expertise required
- Engagement duration and deliverables
6.2 Payment Methods
We accept payment via bank transfer to designated Hong Kong bank accounts. Payment terms are typically:
- Initial engagement fee: Due upon signing
- Progress payments: As specified in engagement letter
- Final payment: Due upon engagement completion
- Standard payment period: Net 30 days from invoice date
6.3 Currency
All fees are quoted and payable in Hong Kong Dollars (HKD) unless otherwise specified in the engagement letter.
6.4 Late Payment
Late payments may incur interest charges at 1.5% per month or the maximum rate permitted by Hong Kong law, whichever is lower. Continued non-payment may result in engagement suspension or termination.
7. Service-Specific Terms
7.1 Consulting Engagement Process
Typical consulting engagements follow this process:
- Initial consultation and needs assessment
- Proposal development and commercial agreement
- Diagnostic phase and current state analysis
- Recommendations development
- Implementation support (if included in scope)
- Knowledge transfer and engagement conclusion
7.2 Scope Changes
Changes to agreed engagement scope require written authorization from both parties. Additional fees may apply for scope expansions. We will provide written notice of any anticipated scope changes before proceeding.
7.3 Deliverables
Engagement deliverables are specified in engagement letters and may include:

8. Disclaimers
8.1 Professional Services
Our consulting services represent professional opinions and recommendations based on available information and industry best practices. Services are provided on an "as is" basis without warranties of specific results or outcomes.
8.2 No Guarantees
While we strive for excellence in service delivery, we cannot guarantee specific business results, financial outcomes, or performance improvements. Actual results depend on numerous factors including client implementation, market conditions, and organizational commitment.
8.3 Professional Advice Disclaimer
Our consulting services do not constitute legal, accounting, or tax advice. Clients should consult appropriate licensed professionals for such matters.
9. Limitation of Liability
To the maximum extent permitted by Hong Kong law:
- Our total liability for any engagement shall not exceed the fees paid for that specific engagement
- We are not liable for indirect, consequential, special, or punitive damages
- We are not liable for losses resulting from client's failure to implement recommendations
- We are not liable for third-party actions or decisions based on our recommendations
- Claims must be brought within 12 months of engagement completion
Nothing in these Terms excludes liability for fraud, gross negligence, or matters that cannot be excluded under Hong Kong law.
10. Indemnification
Clients agree to indemnify and hold harmless Fortivex from claims, damages, and expenses arising from:
- Breach of these Terms and Conditions
- Provision of inaccurate or incomplete information
- Unauthorized use of our intellectual property
- Violations of third-party rights during engagement
11. Termination
11.1 Termination by Either Party
Either party may terminate an engagement with 30 days written notice. Upon termination:
- Client remains obligated to pay for services rendered to date
- Fortivex will provide work-in-progress deliverables as mutually agreed
- Both parties will return confidential materials
11.2 Immediate Termination
We may terminate immediately if:
- Client materially breaches these Terms
- Payment obligations are not met
- Continuation would violate professional standards or legal requirements
11.3 Survival
Provisions regarding intellectual property, confidentiality, limitation of liability, and dispute resolution survive engagement termination.
12. Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of the Hong Kong Special Administrative Region, without regard to conflict of law principles.
12.2 Jurisdiction
The courts of Hong Kong have exclusive jurisdiction over any disputes arising from these Terms or our services.
12.3 Informal Resolution
Before initiating formal proceedings, parties agree to attempt good faith resolution through direct negotiation for at least 30 days.
12.4 Mediation
If negotiation fails, parties may consider mediation through the Hong Kong International Arbitration Centre before pursuing litigation.
13. General Provisions
13.1 Entire Agreement
These Terms, together with engagement letters and statements of work, constitute the entire agreement between parties and supersede all prior understandings.
13.2 Severability
If any provision is found unenforceable, remaining provisions continue in full force and effect.
13.3 Waiver
Failure to enforce any right or provision does not constitute a waiver of such right or provision.
13.4 Assignment
Clients may not assign engagement rights or obligations without our written consent. We may assign agreements to affiliated entities with notice to clients.

14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes become effective:
- Immediately upon posting on our website for new engagements
- Upon written notice to existing clients for ongoing engagements
- 30 days after notification for material changes
Continued use of services after changes constitutes acceptance of updated Terms.
